A PC-MSO structure separates the clinical entity from the business that supports it. A professional corporation, owned by a licensed physician, employs the providers and owns the medical decisions. A management services organization handles everything that is not the practice of medicine — technology, marketing, staffing, billing operations. Done properly, it is how one brand operates lawfully in more than one state at a time.

The details are not portable. Florida does not broadly prohibit corporate practice, but it does license clinics through AHCA. Texas requires an MD or DO medical director and written delegation. California restricted private-equity and hedge-fund control of medical practices effective January 2026. New York prohibits percentage-based management fees outright. What does a medical director from MDside include?

How is the fee set?

One flat monthly fee per practice, not per provider and not a percentage of your revenue. It depends on your state and on the services you offer: a practice doing neurotoxins and IVs is priced differently from one doing fillers, lasers and threads. You get the exact number in writing after one short conversation.

Is there a startup fee?

No. Your first monthly payment covers setup.

Is the fee per provider or per location?

Per practice. Adding a nurse does not change it. A second location is a second site to cover, at a lower fee than the first because the agreement and protocols already exist.

Which services can you cover?

Neurotoxins, fillers, biostimulators, chemical peels, microneedling, threads, non-ablative lasers, IV therapy, vitamin injections, GLP-1 weight management, hormone therapy and peptide programs. The full list is under what we cover.

How fast can we be set up?

Usually within days of receiving your documents. Lasers, threads and other device-based services add a short step: we record the exact device and your training on it before your first treatment.

What do you need from me to start?

Your license number and NPI, your business name and address, your service menu, the names and licenses of anyone who treats patients, your current protocols if you have them, and your liability policy.

How do good faith exams work?

Your patient completes a secure online intake. A physician or other licensed provider reviews it and approves the treatment plan. Where a state or a higher-risk service requires a live exam, it is done by video. More on good faith exams.

I am a nurse practitioner. Do I still need a physician?

It depends on your state and on what you offer. Several states that grant NPs independent practice still require a physician relationship for aesthetic services. Start with nurse practitioner versus physician.

I am a registered nurse. Can I open a med spa or an IV business?

In many states, yes, with a medical director and written delegation in place. Who may own the business and who may own the medical practice are two different questions, and the answer changes by state. See how we work with med spas.

I am not a clinician. Can I own the business?

You can own the business side in every state. In states that restrict who may own a medical practice, the clinical side sits in a physician-owned professional entity and your company manages it. That is the PC-MSO structure.

Do you work in my state?

We cover most states. A few require the physician to practice at a physical location in the state or to be on site, and where we cannot meet that we say so on the first call. Check your state page.

Who carries malpractice coverage?

The agreement states it in plain terms for your structure. The physician and the professional practice carry coverage for medical direction. You keep professional and general liability coverage for the treatments you and your staff perform, and we can refer brokers who write these policies.

Can I leave? What are the termination terms?

Yes. Our standard agreement runs one year and renews. Either side can end it without cause on 60 days' written notice. There is no early termination fee, no noncompete and no nonsolicitation clause.

Who owns the patients and the records if we part ways?

Nobody owns a patient. Patients choose their provider and nothing in our agreements restricts that. The medical practice keeps the records for the period the law requires, you keep reasonable access for follow-up care, and we cooperate on patient notification.

Who controls the money?

Where your state lets you own the clinic outright, you keep your own bank account and card processor and pay us the flat fee. In a PC-MSO state, patient payments go to the practice account, you see it in real time, and the balance is transferred to your company on a fixed weekly schedule with a statement.

Do I need LegitScript certification?

Not always on day one. It becomes necessary when you sell prescription products online or advertise them on Google or Meta. In-clinic card payments generally do not require it. See LegitScript certification.

How do GLP-1 prescriptions work? Do I hold inventory?

No inventory. A licensed provider approves each prescription for a specific patient, and a licensed pharmacy ships it to the patient or to your office. See weight management.

Do you set my prices or tell me how to run my business?

No. You set your prices, packages and promotions and you run operations, marketing and the front desk. We are responsible for the clinical side.
